These Terms of Use govern contractual relations between You and P.P PROPER PROPERTY LIMITED, the company registered under the legislation of the Republic of Cyprus, address 8, Michalaki Karaoli Street, Anemomylos Building, 4th Floor, 1095 Nicosia, Cyprus, company registration number: HE 466364. (hereinafter, "Proper Property", "We", "Company", "Us", "Our") regarding the use of the Website and the use of the Services according to these Terms of Use.

Proper Property operates solely as a marketplace platform. It is not a broker, agent, or party to any transaction between users.

3. USE OF WEBSITE FUNCTIONALITY

3.1. Provision of the Services

The Services are provided via the Internet using the Websites software. Proper Property does not assume liability for any technical failures of the Website and external services resulting from failures and/or lack of stable Internet connection on the User's part.

3.2. Waiver of guarantees and technical requirements

• We do not assume liability and do not guarantee that no technical or any other problems will not occur in the course of the Services, including failures of the Website and/or external services that may be used in the course of the Services, or that access to the Services will be continuous, fast, reliable, and fault-free; nor do we assume liability regarding any error in the operation of the Website and/or of any external services.
• You understand and agree that we do not provide any guarantees and do not assume liability for Your failure to get access to the Website's functionality due to Your lack of technical possibilities for getting such access, including due to the problems with Internet access.
• Proper Property does not assume responsibility for the compliance of the Services and the content with Your subjective expectations and/or requirements, nor does it guarantee that You will attain any specific results from using the Services which You expect to attain.

Proper Property shall not be responsible for any negotiations, agreements, transactions, communications, or disputes between Users, including but not limited to landlords, agents, buyers, tenants or other third parties. Any transaction entered into as a result of information obtained through the Website is undertaken entirely at the Users' own risk.

Proper Property may at its sole discretion and at any time update, modify, suspend, enhance, or stop any aspect on the Website for a certain period of time or forever.

4. TERMS OF USE OF THE WEBSITE AND SERVICES

4.1. Resale of information

Sale of any information obtained by Users via the Website is not allowed.

4.2. Website use prohibitions and restrictions

By using the Website You guarantee that:

• You have the legal right to list properties and that all information, documents and content submitted by You are accurate, lawful and misleading.
• You are using the Website solely for the purposes allowed by these Terms of Use and in compliance with the provisions hereof and with the requirements of applicable law and common practice, and this use does not infringe upon property and/or personal non-property rights of third parties.
• You will not take any actions aimed at causing damage or interfering with the operation of the Website, obtaining unauthorized access to data or personal information from the Website.

Any information on the Website is solely of informative nature. We do not provide any guarantee regarding its completeness, timeliness, or accuracy. Information and materials on the Website can be modified without giving a prior notice to the Users. By obtaining information via the Website Users do not in any way obtain any professional opinion by the Relate, which in no way does it own any duty of care to Users concerning the accuracy of the information concerned.

We reserve the right to post advertising materials and links to external resources in the special sections on the Website. However, we do not assume any liability for the advertising materials and the accessibility of such resources, and for their content, nor do we guarantee that such resources and information posted therein do not infringe third parties' rights, and the safety of the use of these resources. We do not assume liability for any consequences of Your using these resources, their content or advertising.

5. INFORMATION COLLECTION AND PRIVACY POLICY

Your personal data shall be collected and processed in connection with the use of the Website and the Services in compliance with our Privacy Policy.

6. INTELLECTUAL PROPERTY

All content, design, graphics, combinations, translation, digital reproduction and other materials related to the provision of the Services and Website operation are protected in accordance with the applicable copyright, trademark and property laws (including, but not limited to, intellectual property rights) and belong to us. The copying, distribution, redistribution, or publication of any intellectual property by You, except as expressly provided in these Terms of Use, is strictly prohibited.

8. SETTLEMENT OF DISPUTES

8.1 Disputes between Users

You shall bear full liability for Your relations with other Users, including settlement of disputes between you.

8.2 Disputes with Proper Property

The Parties shall be held liable in accordance with the current legislation of the Republic of Cyprus for the breach of provisions and conditions set out in these Terms of Use. The Parties will try to settle any disputes and/or claims that may arise in connection with these Terms of Use and the Services, including any issues relating to their validity, violation, termination, or invalidity, amicably by means of negotiations. In the event of a dispute, we recommend contacting us first via e-mail hello@properproperty.com.cy try to settle the problem directly with us.

Except as expressly provided in these Terms of Use, any dispute or claim related to access to the Website, use of Proper Property's Services, or otherwise related to these Terms of Use or Proper Property's Services, which cannot be resolved directly between You and Proper Property, shall be settled in a competent court of Cyprus. You and Proper Property agree that any dispute brought to the court shall be considered a dispute between Proper Property and You personally.

You agree that in the event that any court proceedings between you and Proper Property arise, any contact information that you have provided to us, including but not limited to phone number, address, email addresses, may be used to effectuate the service of all necessary court documents or any document related to such proceedings.

8.3 Exceptions from mandatory legal proceedings

The above provisions regarding mandatory legal proceedings do not cover the following disputes: (1) disputes aimed at ensuring the observance or protection of any intellectual property rights belonging to You or Proper Property; (2) disputes under motions for injunctive relief.

9. FORCE MAJEURE

The Parties shall be fully released from liability for failure to fulfill or improper fulfillment of the Terms of Use, which occurred as a result of force majeure (circumstances of insuperable force), including without limitation the following: fires, explosions, floods, storms, strikes, natural disasters, wars, acts of terrorism, riots, pandemics or other circumstances which directly affect the possibility of fulfilling these Terms of Use.

The Party unable to fulfill these Terms of Use due to the circumstances of insuperable force (force majeure) shall inform the other Party about that within ten (10) calendar days after such circumstances occur. Late notification about the occurrence of the circumstances of insuperable force (force majeure) shall deprive the relevant Party of the possibility to refer to them.

The period of performance hereunder shall be extended for the time of force majeure. In the event that such circumstances last longer than thirty (30) calendar days, each of the Parties shall have the right to demand the termination of relations hereunder. The occurrence of the circumstances of insuperable force (force majeure) shall be attested with the document issued by the relevant competent body.

10. ENTRY INTO FORCE AND TERMINATION OF THE TERMS AND CONDITIONS

These Terms of Use shall enter into force from the moment of the first visit to the Website. These Terms of Use shall remain valid in case the Parties' details are changed. These Terms of Use will also bind any successor, administrator, liquidator and/or any other entity that may succeed either of the Parties' rights and obligations.

Either Party may terminate the relationships defined herein at any time and for any reason covered by this document. We can terminate the relationships established herein in case You have violated these Terms of Use, the law, or other persons' rights, as stipulated in this document.

Specifically, we reserve the right to suspend or terminate User accounts in cases of breach of these Terms, non-payment of subscription fees, submission of false or unlawful information, or violation of applicable law.

11. MISCELLANEOUS

• Agencies and companies must maintain an active yearly subscription in order to upload listings.
• Landlords may publish one listing free of charge. Any additional listings require payment.
• Subscriptions are billed in EUR via Stripe and renew automatically unless cancelled prior to renewal date.
• A 14-day cooling-off period applies in accordance with EU consumer protection law, unless the Services have been fully provided within that period.

The failure Proper Property to exercise or enforce any right or provision of the Terms of Use shall not constitute a waiver of such right or provision. These Terms of Use constitute an entire agreement between You and Proper Property regarding the use of the Website and the Services, and supersede any prior Terms of Use that could have existed between You and Proper Property.

If any provision of these Terms of Use is recognized as unenforceable, such term or provision shall be replaced with a term or provision that most closely matches the intent underlying such term or provision, the other provisions remaining in force.

The legislation of the Republic of Cyprus shall govern Your access to the Website and use of the Services, and shall also apply to these Terms of Use.

Proper Property may from time to time unilaterally decide to change these Terms of Use, provided that such changes will not impose additional obligations on you. By continuing to use the Website and Proper Property Services after these Terms of Use have been amended, You agree to such amendments. If we introduce any material amendments to these Terms of Use, Proper Property will make reasonable efforts to notify You of such amendments, and You shall be responsible for checking the Terms of Use to see whether they have been amended or not. After amendments are introduced, the date of amendments will be indicated in the Last Updated filed in the top of these Terms of Use.

The description and list of Website functionalities may be changed from time to time without giving You a prior notice. We shall have the right to discontinue (temporarily or permanently) any individual functionality of the Website without prior notice at our sole discretion.

If one or more provisions of the Terms of Use are for any reason invalid, have no legal force, such invalidity shall not affect the validity of any other provision of the Terms of Use, which shall generally remain in force.
